1. Who we are
AssetBridge is provided by:
| Legal name | Risen Advisory (Pty) Ltd |
| Legal status | Private company, South Africa |

Our registration details and physical address are available on request at the email address above.
2. Definitions
- "AssetBridge" or "the Service": the AssetBridge website, web application and API at assetbridgehq.com.
- "we", "us", "our": the provider named in section 1.
- "Customer": the practice or business that holds an AssetBridge account. A Practice manages many client companies; a Business manages one company.
- "User" or "you": any person who uses AssetBridge, including account holders, invited staff and invited clients. Where a User acts for a Customer, "you" also means that Customer.
- "Customer Data": the information a Customer or its Users put into AssetBridge or bring in from a connected service, such as companies, assets, journals, notes and reports.
- "Connected service": a third-party service a Customer links to AssetBridge, such as Xero or an application approved through the AssetBridge API.
3. Agreeing to these terms
3.1 You must agree to these terms before you use AssetBridge. You agree by ticking the box presented when you first sign in or create an account. We record the version you agreed to and when.
3.2 If you use AssetBridge for a practice or business, you confirm that you have authority to bind it to these terms. The account holder agrees on behalf of the Customer; each invited User agrees for their own use.
3.3 AssetBridge is a business service. You must be at least 18 years old to use it.
4. Accounts, users and roles
4.1 Each User has a personal login. Do not share it. You are responsible for activity under your login until you tell us it has been compromised.
4.2 Two-step verification may be required for every User. You must keep your authenticator app secure.
4.3 A Customer controls who has access. Practice Managers and Business Administrators manage their practice or business and its members. Company Managers manage access to their company. Clients invited to particular companies see only those companies. Each Customer is responsible for the people it invites, the roles it gives them and removing access when it is no longer needed.
4.4 Only invite people who have agreed to receive an invitation from AssetBridge.
4.5 Our own platform staff can access every practice and company to provide support, investigate problems and keep AssetBridge secure, as described in the Privacy Policy.
5. Your responsibilities
You agree to:
- give accurate information and keep your account details up to date;
- use AssetBridge only for lawful purposes and in line with these terms;
- have a lawful basis, under the Protection of Personal Information Act, 2013 (POPIA) and any other applicable law, for the personal information you put into AssetBridge, including information about your clients, and give them any notices the law requires;
- not put special personal information or children's information into free-text fields; and
- keep your own copies of records you are legally required to keep, using AssetBridge's reports and exports.
6. Professional responsibility for figures
6.1 AssetBridge is a tool. It calculates depreciation under IAS 16, SARS wear-and-tear and other allowances, deferred tax, journals and reconciliations from the figures, settings, rates and choices you enter or approve.
6.2 AssetBridge does not give accounting, tax or legal advice. You remain responsible for reviewing every figure, journal and report, for the choices you make (such as useful lives, rates, tax sections and treatments), and for everything you file with SARS, include in financial statements or post to your general ledger. Where a figure matters, check it against the underlying records and the current law.
6.3 Tax rates and rules change. We maintain the SARS rates in AssetBridge with care, but you must confirm that the rates and rules applied are correct for your circumstances and periods.
7. Xero and other connected services
7.1 Connecting Xero is optional. If a Customer connects a company to Xero, the Customer authorises us to read that company's Xero data needed for the Service (its chart of accounts, assets, asset settings, balance sheet and manual journals) and to send journals and draft assets to it.
7.2 Your use of Xero is governed by your agreement with Xero. We are not responsible for Xero's service, its availability or changes Xero makes to its software or API. Xero only allows assets to be created as drafts through its API; registering them, and not disposing of them a second time in Xero's own asset module, remains your responsibility.
7.3 A Manager may approve a third-party application's access to one company through the AssetBridge API. The application can then read the information described in the Privacy Policy. The Customer is responsible for the applications it approves, and may end any connection at any time. Third-party applications are governed by their own terms.
7.4 A Customer may disconnect a connected service at any time. Disconnecting stops further data from being exchanged. It does not undo journals or assets already sent to that service.
7.5 Xero is a trademark of Xero Limited. AssetBridge is not affiliated with or endorsed by Xero.
8. Fees
8.1 AssetBridge is provided on pricing agreed with each Customer in writing. Where fees apply, they are payable as set out in that agreement or on the invoice.
8.2 We will give you at least 30 days' notice before introducing or changing fees that apply to you. You may stop using AssetBridge before the change takes effect.
8.3 Unless stated otherwise, prices are in South African rand.
9. Your data
9.1 The Customer owns its Customer Data. These terms do not give us any ownership of it.
9.2 The Customer gives us permission to host, copy, process and display Customer Data only as needed to provide, support and secure AssetBridge, and as the Customer instructs (for example, by connecting Xero or approving an application).
9.3 You can export your registers and reports at any time while your account is open. On request after closing an account, we will provide an export of the Customer's records in a commonly used format, as long as we still hold them.
9.4 After an account is closed, we keep Customer Data for a period that lets the Customer retrieve it and meets legal record-keeping requirements, and then delete it, unless the Customer asks us to delete it sooner or the law requires us to keep it. Deleted information may remain in backups until they expire.
10. How we process Customer Data for you
For personal information within Customer Data, the Customer is the responsible party and we are its operator under POPIA. We agree to:
- process it only with the Customer's knowledge and authorisation, to provide AssetBridge, and not for any other purpose;
- keep it confidential and only disclose it as these terms or the law allow;
- maintain appropriate, reasonable technical and organisational measures to protect it, as described in the Privacy Policy;
- use the service providers listed in the Privacy Policy, which are bound to protect the information, and tell Customers about material changes to that list;
- notify the Customer without undue delay if we reasonably believe its personal information has been accessed or acquired by an unauthorised person; and
- help the Customer respond to requests from people exercising their rights over their information.
11. Security
We take reasonable, industry-standard measures to protect AssetBridge and Customer Data. You must also play your part: keep your login and authenticator private, use a strong password, remove access for people who leave, and tell us promptly at hello@risenadvisory.co.za if you
12. Availability, changes and the Demo Company
12.1 We aim to keep AssetBridge available and working well, but we do not promise uninterrupted or error-free service. We may carry out maintenance, and connected services such as Xero may be unavailable from time to time.
12.2 We may improve, change or withdraw features. If we remove a feature that is material to your use, we will give reasonable notice where we can.
12.3 Every User is given a Demo Company with sample data for trying AssetBridge. Its data resets every 28 days, it cannot connect to Xero, and it must not be used for real records.
13. Acceptable use
You must not:
- access, or try to access, practices, companies or data you have not been given access to;
- test, probe or bypass AssetBridge's security, or interfere with its operation;
- use the API beyond the access you have been granted, or exceed its rate limits on purpose;
- copy, resell or make AssetBridge available to others except as these terms allow;
- reverse engineer AssetBridge, except where the law allows; or
- upload anything unlawful, harmful or that infringes someone else's rights.
14. Intellectual property
AssetBridge, including its software, design, documentation and the AssetBridge name, belongs to us or our licensors. While these terms apply, we give you a non-exclusive, non-transferable right to use AssetBridge for your practice's or business's internal purposes. If you send us feedback, we may use it to improve AssetBridge without obligation to you.
15. Confidentiality
Each of us will keep the other's confidential information confidential and use it only for the purposes of this agreement. This does not apply to information that is public, already known to the recipient, independently developed, or that must be disclosed by law (in which case the discloser will be told where the law allows).
16. Suspension and termination
16.1 A Customer may stop using AssetBridge and ask us to close its account at any time.
16.2 We may suspend or end access, after notice where reasonable, if you materially breach these terms, fail to pay fees that are due, put AssetBridge or other Customers at risk, or if the law requires it. Where possible we will give you the chance to fix the problem first.
16.3 Sections 6, 9, 10, 14, 15, 17, 18, 19 and 21 continue after these terms end.
17. Warranties
To the extent the law allows, AssetBridge is provided "as is". We do not warrant that it will meet every requirement you have, or that its calculations are suitable for a particular purpose without your review (see section 6). Nothing in these terms excludes rights you have under the Consumer Protection Act, 2008, where that Act applies to you.
18. Limitation of liability
18.1 To the extent the law allows, we are not liable for indirect or consequential loss, including loss of profit, revenue, goodwill or data, or for penalties, interest or additional tax arising from figures you filed or posted without review.
18.2 To the extent the law allows, our total liability arising from these terms or AssetBridge is limited to the fees the Customer paid us for AssetBridge in the 12 months before the claim arose.
18.3 Nothing in these terms limits liability for fraud, gross negligence, wilful misconduct, or anything else that cannot be limited by law.
19. Indemnity
The Customer will indemnify us against third-party claims arising from Customer Data it had no lawful right to put into AssetBridge, or from its Users' breach of section 13.
20. Changes to these terms
We may update these terms. Each version has a number and an effective date. If a change is material, we will tell you by email or in AssetBridge at least 30 days before it takes effect, and ask you to agree to the new version before you continue using AssetBridge. If you do not agree, you may stop using AssetBridge before the change takes effect.
21. General
21.1 These terms are governed by the law of the Republic of South Africa, and the courts of South Africa have jurisdiction.
21.2 We will send notices to the email address on your account. You may send notices to the email address in section 1.
21.3 If any part of these terms is found invalid, the rest continues to apply.
21.4 Not enforcing a right straight away does not mean we give it up.
21.5 You may not transfer your rights under these terms without our written consent. We may transfer ours as part of a sale or restructuring of the business that provides AssetBridge, on notice to you.
21.6 These terms, together with any written pricing agreement and the Privacy Policy, are the whole agreement about AssetBridge. If a signed written agreement with a Customer conflicts with these terms, that agreement applies.
